In the sale of any business, the structure of the sale agreement defines such elements as the nature of the consideration being paid in the transaction, the conditions to be met for all, or part of, the consideration to be paid, a timeline for activities, plans to handle potential deal risks, and conditions that can cause the deal to fail to close. Often the structure of a business sale transaction is equal to or more important than the actual stated sales price.
